| MACMILLAN INDIA LTD ACQUIRES ICC |

PORTLAND, OR, March 6, 2006Macmillan India announced the acquisition of 100% equity stake in ICC Macmillan (ICC), a U.S.-based company. Macmillan informed the Bombay Stock Exchange (BSE) that it signed definitive agreements for purchase of the company.
The acquisition will enable the company to quickly enhance its presence in the U.S. and to contribute to increased revenue growth in the North American region. With ICCs in-depth experience in producing fine quality K-12, college and trade books combined with Macmillans years of experience in journal, Web, and multimedia production, ICC Macmillan will truly be a one-stop shop. ICC Macmillans clients include McGraw-Hill, Pearson Education, Microsoft Learning, Houghton Mifflin, Thomson Learning, Elsevier, Wiley, Blackwell, Oxford University Press, and more. The newly combined company will have access to U.S.-based project managers, salespeople, and a vast number of professional editorial freelancers. Coupled with the cost benefits of having India-based production, ICC Macmillan believes it will truly be the leader in the book and journal production market. Production facilities are located in New Delhi, Bangalore, and Chennai.
